About Divy Tradelink

Divy Tradelink is a pharmaceutical export company based in Surat, Gujarat, India, engaged in the sourcing and export of GMP-certified medicines, medical equipment and related healthcare products to licensed buyers worldwide. Our operations are conducted in accordance with applicable Indian export laws, CDSCO regulations and international pharmaceutical trade standards.

Use of This Website

This website is intended for healthcare businesses, hospitals, clinics, pharmacies, distributors, named-patient access providers and procurement professionals seeking information about pharmaceutical export services from India. It is not intended for use by patients or members of the public.

You agree to use this website only for lawful purposes and in a manner that does not infringe the rights of any third party. You must not use our website to transmit unsolicited communications, engage in fraudulent activity, attempt to gain unauthorised access to our systems, or misrepresent your identity or business credentials.

We reserve the right to restrict or terminate access for any user who violates these terms.

Buyer Eligibility and Verification

Divy Tradelink supplies pharmaceutical products only to buyers who are licensed and authorised to purchase, import, store and distribute such products in their jurisdiction.

By submitting an enquiry or placing an order, you represent and warrant that:

You are a business entity, not an individual consumer or patient
You hold all licences, registrations and authorisations required in your jurisdiction to purchase and import the products concerned
The information you provide about your business, licences and intended use is accurate and current
You will notify us promptly if any licence is suspended, revoked or expires

We may request evidence of your licences at any stage, and may decline or suspend supply where we are unable to verify your status to our reasonable satisfaction. We reserve the right to decline any enquiry or order at our sole discretion.

Product Use and Onward Supply

Products supplied by Divy Tradelink are for lawful distribution or dispensing within the regulated pharmaceutical supply chain of the destination market.

You agree that you will not:

Resell or supply products to any party not licensed to receive them
Divert products to a market other than that stated in the order without our prior written agreement
Supply products directly to patients or members of the public other than through lawful dispensing by a licensed pharmacy or healthcare institution
Alter, relabel or repackage products without appropriate authorisation
Use products, or our name and materials, in any advertising directed at the general public in breach of applicable pharmaceutical advertising law

Breach of this section entitles us to suspend or terminate supply immediately.

Export Control and Sanctions

All supply is subject to Indian export control law and to applicable international trade sanctions. We will not supply where doing so would breach any such law or sanction.

You confirm that you are not subject to any sanctions or export restriction that would prevent lawful supply, and that products will not be re-exported in breach of applicable law.

Products and Services

Product information — Product information, descriptions and specifications published on this website are provided for general information only. Availability, pricing and specifications are subject to change without notice. Final details are confirmed in the proforma invoice.

Not medical advice — Content on this website, including product descriptions and articles, is intended for professional healthcare procurement audiences. Export compliance — Exports are conducted in compliance with Indian export regulations, CDSCO requirements and the import regulations of the destination market. The buyer is responsible for ensuring imported products meet local regulatory requirements, including registration with the relevant national regulatory authority where required.

Minimum order quantities — MOQs vary by product and manufacturer, and are confirmed at quotation stage.

Named-patient and small-quantity supply (NEW) — Where we supply single packs or small quantities for named-patient or special-access purposes, the buyer is responsible for ensuring that the import is permitted under the destination market’s named-patient, compassionate use or special-access framework, and for obtaining any patient-specific import permit required. Divy Tradelink does not apply for such permits on the buyer’s behalf.

Quotations, Orders and Shelf Life

Quotations are subject to product availability, manufacturer pricing and freight rates at the time of quotation. A quotation is valid for the period specified in the proforma invoice and does not constitute a binding contract until a purchase order has been received and confirmed in writing by Divy Tradelink.

Orders are confirmed on receipt of the agreed advance payment or Letter of Credit as specified in the proforma invoice.

Shelf life (NEW) — Minimum residual shelf life at the point of despatch is confirmed at order confirmation. Where the buyer requires a specific minimum shelf life, this must be stated before order confirmation. We are not liable for shelf-life expectations not agreed in writing in advance.

Payment Terms

Payment terms are agreed per order and documented in the proforma invoice. Standard options include advance bank transfer (T/T) and Letter of Credit (L/C) for qualifying orders. All payments must be made in the currency specified.

Divy Tradelink is not responsible for bank charges, currency conversion costs, or delays arising from the buyer’s banking institution. Orders are not processed or despatched until payment is confirmed and cleared.

Delivery, Risk and Cold Chain

Delivery timelines — Estimates are provided in good faith and are subject to manufacturer lead times, customs procedures, carrier schedules and events beyond our control. We keep buyers updated throughout.

Incoterms, risk and title (UPDATED) — Unless otherwise agreed in writing, supply is made on the Incoterms® rule stated in the proforma invoice. Risk passes in accordance with that rule. Title passes on receipt of payment in full.

Cold chain (NEW) — Temperature-sensitive products are despatched in validated packaging with a calibrated data logger where specified. Our responsibility for temperature integrity ends at the point risk passes under the applicable Incoterms rule. The buyer is responsible for maintaining appropriate storage on arrival, and for reviewing the logger report promptly on delivery. Claims relating to temperature excursion must be supported by the logger report.

Customs clearance — The buyer is responsible for all duties, import taxes and clearance procedures in the destination market. We provide the export documentation required to facilitate clearance but are not responsible for delays or costs arising from destination-country procedures.

Damaged or lost shipments — The buyer must notify us within 48 hours of delivery or discovery. Claims must be supported by photographic evidence and the relevant carrier documentation. We will assist in liaising with freight insurers where applicable.

Documentation

We provide a standard export documentation package with every confirmed shipment, including Commercial Invoice, Packing List, Bill of Lading or Airway Bill, Certificate of Origin, GMP Certificate, batch-wise Certificate of Analysis, and Free Sale Certificate where applicable. Additional documents required by the buyer’s regulatory authority will be accommodated where reasonably possible and must be notified in advance.

The buyer is responsible for providing accurate and complete information to enable correct documentation. We are not liable for documentation errors arising from information supplied by the buyer.

Returns and Product Complaints

Given the regulated nature of pharmaceutical products, returns are not accepted once a shipment has been despatched unless the product is confirmed defective, incorrectly supplied, or damaged in transit.

Product quality complaints (NEW) — Complaints relating to product quality must be notified promptly and in writing, with batch number, quantity affected and supporting evidence. We will raise the complaint with the manufacturer and keep the buyer informed. Products subject to a quality complaint should be quarantined and not distributed further.

Disputes and Governing Law

Both parties agree to attempt resolution first through direct communication with our team at hello@divytradelink.com. If no resolution is reached within 30 days, the matter shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Surat, India, and proceedings shall be conducted in English.

These Terms are governed by the laws of India, and the courts of Surat, Gujarat shall have exclusive jurisdiction, subject to the arbitration provision above.

Limitation of Liability

To the maximum extent permitted by applicable law, Divy Tradelink shall not be liable for any indirect, incidental, consequential or punitive damages arising from use of our website or services, including loss of business, loss of profits or supply interruption.

Our total liability in connection with any order shall not exceed the value of that order as documented in the proforma invoice.

Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited.

Intellectual Property

All content on divytradelink.com — including text, product descriptions, articles, logos, images and design elements — is the intellectual property of Divy Tradelink or its content providers. You may not reproduce, distribute or republish any content without prior written permission.

Third-party trade marks and brand names appearing on this website remain the property of their respective owners and are used for identification purposes only.

Force Majeure

Neither party shall be liable for failure or delay in performance caused by events beyond its reasonable control, including acts of God, natural disaster, epidemic or pandemic, war, civil unrest, terrorism, strike or labour dispute, government action, export or import restriction, failure of transport or utilities, or manufacturer shutdown.

The affected party shall notify the other promptly. If the event continues beyond 90 days, either party may terminate the affected order without liability, save for sums already due.

Disclaimer

While we make every effort to ensure accuracy, Divy Tradelink makes no warranties, express or implied, regarding the completeness, accuracy or fitness for purpose of website content. Product availability and pricing are subject to change without notice.

General

Entire agreement — These Terms, together with the proforma invoice and any written agreement between us, constitute the entire agreement and supersede prior discussions.

Severability — If any provision is found unenforceable, the remaining provisions continue in full force.

Assignment — The buyer may not assign its rights or obligations without our prior written consent.

No waiver — Failure to enforce any provision does not constitute a waiver of it.

Notices — Notices under these Terms shall be given in writing by email to the addresses stated in the proforma invoice.

Changes to These Terms

We reserve the right to update these Terms at any time. Changes will be published on this page with a revised date. Continued use of our website following an update constitutes acceptance of the revised terms.
